PUBLIC OFFER AGREEMENT

This document constitutes a public offer (the “Offer”) made by Wave Market Rus LLC (OGRN 1257700274810, INN 7730338437, hereinafter referred to as the “Company” or “Service Provider”), to enter into a legally binding agreement under the terms set forth below with any legal entity or individual entrepreneur (hereinafter referred to as the “Client”) who pays for the publication of information about their AI product, platform, or application (hereinafter referred to as the “Tool”) on the website AIMarketwave.com.

1. Subject of the Offer The Company agrees to provide the Client with a paid listing service, which includes publishing information about the Client’s Tool on AIMarketWave.com — such as its name, description, logo, category, link, and other details submitted by the Client. The listing may appear in the site’s catalog, review section, or other relevant category depending on the selected format. The service is deemed rendered once the Tool listing or article has been published on the website.

2. Acceptance and Agreement The Client accepts this Offer by making a payment for the listing service via any available payment method. Upon payment, this Offer becomes a legally binding Service Agreement between the Company and the Client. By completing the payment, the Client confirms they have read, understood, and accepted all the terms of this Offer.

3. Fees and Payment Terms The service fee is published on the website and valid at the time of payment. Payment must be made in full and in advance (100% prepayment). Payments may be made by credit/debit card, bank transfer, or other approved methods in USD or supported currencies. The service is considered provided once the Tool is listed on the website.

4. Rights and Obligations The Company shall: publish the Client’s Tool within 5 business days after payment and reserve the right to edit text, visuals, or formatting to match the website’s editorial standards. The Client shall: provide accurate and lawful information about their Tool; guarantee that materials do not infringe any third-party rights, copyrights, or applicable laws; and assume full responsibility for the accuracy of submitted data and all consequences arising from publication.

5. Liability The Company is not liable for the accuracy or legality of the information provided by the Client. The Company may remove any listing at its discretion in case of complaints, violations, or legal concerns, without refund. The Client bears full responsibility for any claims or damages arising from the publication of their Tool information. Limitation of Liability: In no event shall the Company’s total liability exceed the amount paid by the Client for the service.

6. Refund Policy Refunds are only possible if the listing cannot be published due to the Company’s fault. Refund requests must be submitted in writing within 10 business days. No refunds are issued for voluntary cancellations or violations of these terms.

7. Force Majeure The Company is not responsible for delays or non-performance caused by events beyond its reasonable control, including but not limited to: Internet outages, data center failures, government restrictions, wars, natural disasters, or changes in law.

8. Governing Law and Dispute Resolution This Offer and all related relationships shall be governed by and construed in accordance with the laws of the State of Delaware, USA. Any disputes arising under this Agreement shall be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration in Delaware, in English, under the rules of the American Arbitration Association (AAA).

9. Digital Acceptance By clicking “Pay”, “Submit”, or completing the payment process, the Client acknowledges that this constitutes their electronic signature and acceptance of this Agreement in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN, 15 U.S.C. §7001).

10. Independent Contractor Nothing in this Agreement shall be construed as creating a partnership, joint venture, agency, or employment relationship between the Parties. The Company acts solely as an independent service provider.

11. Entire Agreement This Agreement constitutes the entire understanding between the Parties and supersedes all prior negotiations, representations, or communications, whether written or oral, related to the subject matter herein.

12. Severability If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Term and Modifications This Offer is valid indefinitely and may be updated by the Company at any time. The new version becomes effective immediately upon publication on AIMarketwave.com.
